PLEASE READ THESE TERMS CAREFULLY BEFORE USING INDUCE. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES. CAPITALIZED TERMS ARE DEFINED IN SECTION 19.

SUBSCRIPTION AUTO-RENEWAL NOTICE: Section 8 governs subscription billing, including automatic renewal terms. Please read it before subscribing.

DISPUTE RESOLUTION AND ARBITRATION NOTICE: Section 16 contains a binding arbitration agreement and class action waiver. You have 30 days from first use to opt out. Please review it carefully.

1. About Induce and These Terms

These Terms of Service ("Terms") govern your access to and use of the Induce platform — an AI-powered cinematic production platform incorporating Narrative Intelligence technology — available at getinduce.com and via related mobile applications, APIs, and integrations (collectively, the "Services"). The Services are operated by Induce Media Labs, Inc. ("Induce," "we," "us," or "our"), a Delaware corporation.

By creating an Account, accessing, or using the Services, you ("User," "you," "your") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization, and all references to "you" include that organization. Capitalized terms not defined in context are defined in Section 19.

2. Accounts and Registration

2.1 Eligibility

  • You must be at least 18 years of age to use the Services.
  • You must not be prohibited from receiving services under US law or any other applicable jurisdiction, including export control or sanctions regulations.
  • If accessing on behalf of a legal entity, you represent you have authority to bind that entity.
  • Users under 18 are strictly prohibited from creating Accounts or using the Services.

2.2 Registration

  • You must provide accurate, complete, and current registration information and maintain its accuracy.
  • You are responsible for maintaining the security and confidentiality of your Account credentials. You must not share your Account with any third party.
  • You are responsible for all activity that occurs under your Account, whether or not authorized by you.
  • You must notify us immediately at support@getinduce.com of any suspected unauthorized use of your Account or security breach.
  • We reserve the right to suspend or terminate your Account if any information provided is inaccurate, misleading, or in violation of these Terms.
  • One Account per individual. Organization Accounts are available on applicable plans.

2.3 Account Property

You acknowledge and agree that you have no ownership or other property interest in your Account. All rights in and to your Account are and shall forever be owned by and inure to the benefit of Induce.

2.4 Corporate Domain Accounts

If you create an Account using an email address belonging to an employer or organization (for example, a work email address), that Account may be associated with or transferred to that organization's enterprise Account with us. We will provide notice to you before any such association or transfer. If your organization has a Runway-style enterprise agreement with Induce, administrators of that organization's Account may access and control user Accounts registered under the organization's domain. You acknowledge that your employer or organization may have rights to your Account in these circumstances.

2.5 API Keys and End-User Obligations

To access and use the APIs, you must obtain an API key through your Account. Your API keys are for your use only and must be kept confidential. If you integrate the Services into your own applications or products using our APIs, you must:

  • Display "Powered by Induce" and link to getinduce.com on applicable user interfaces, in accordance with our Branding Guidelines.
  • Bind your end users to an enforceable end-user license agreement (Your EULA) containing terms no less protective of Induce than those set forth in these Terms, including restrictions on Acceptable Use, intellectual property obligations, and compliance with Induce's policies.
  • Ensure your end users comply with all such terms. If you become aware that an end user is violating Your EULA or these Terms, you must immediately terminate that end user's access and notify us.
  • You are responsible for your end users' compliance with these Terms as if their actions were your own.

2.6 No Circumvention

You agree not to create an Account using a false identity, or on behalf of someone other than yourself. You agree not to create an Account or use the Services if you have been previously suspended or banned by Induce.

3. The Services

3.1 Platform Capabilities

Induce provides an AI-powered cinematic production platform whose capabilities include, but are not limited to:

  • Script-to-Shot Breakdown Engine: converting screenplays, scripts, and creative briefs into structured shot lists and production documentation
  • Narrative Intelligence: maintaining cross-scene character, visual style, and continuity consistency across a production
  • Persistent Project Memory: retaining production parameters, character profiles, and visual references throughout a project lifecycle
  • Studio Workflow Integrations: connecting Induce with third-party production management, communication, and asset management tools
  • APIs for enterprise and studio integrations, subject to additional API-specific terms

3.2 Modifications to the Services

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Services at any time. We will endeavor to provide at least 30 days' advance notice of material changes that significantly affect paid subscribers. Induce will have no liability for any change, suspension, or discontinuation of the Services.

3.3 Monitoring and Enforcement

Induce reserves the right, but not the obligation, to monitor Inputs, Outputs, and user activity on the Services for operational, safety, and compliance purposes. Induce may in its sole discretion, at any time and without notice, remove, disable, or block access to any Input or Output that violates these Terms, is alleged to violate third-party rights, or is otherwise objectionable. Induce's election to monitor or not monitor does not create any responsibility or liability for content or any loss or damage incurred as a result thereof.

3.4 HIPAA and Prohibited Data Disclaimer

THE SERVICES ARE NOT DESIGNED OR INTENDED FOR USE WITH PROTECTED HEALTH INFORMATION (PHI) AS DEFINED UNDER THE HEALTH INSURANCE PORTABILITY AND ACCOUNTABILITY ACT (HIPAA), OR ANY OTHER CATEGORY OF PROHIBITED DATA. INDUCE IS NOT A HIPAA BUSINESS ASSOCIATE AND DOES NOT EXECUTE BUSINESS ASSOCIATE AGREEMENTS IN CONNECTION WITH THE STANDARD SERVICES. YOU MUST NOT SUBMIT PHI OR PROHIBITED DATA TO THE SERVICES. Notwithstanding anything else in these Terms, Induce has no liability for Prohibited Data or use of the Services for High Risk Activities, as defined in Section 19.

3.5 Security Practices

Induce maintains industry-standard security controls designed to protect the Services and your data. These include encryption in transit and at rest, role-based access controls, and regular security assessments. Enterprise customers may request our current security documentation through their account representative. Our security posture and certifications are described at getinduce.com/security.

4. Inputs, Outputs, and Project Content

4.1 Definitions

For the purposes of this Section, the following definitions apply (see also Section 19 — Defined Terms):

  • "Input" means any scripts, screenplays, creative briefs, story documents, images, video clips, audio files, reference materials, prompts, and other content that you upload, submit, or enter into the Services.
  • "Output" or "AI Output" means any shot lists, character sheets, breakdown documents, visual style guides, storyboards, and other materials generated by the Services in response to your Inputs.
  • "Project Content" means your Inputs together with any Outputs you save to your workspace, as well as associated metadata and project configuration settings.
  • "Aggregated Data" means anonymized, de-identified data derived from usage of the Services across all users that cannot reasonably be used to identify any individual user or their Project Content. Aggregated Data does not include your Project Content in recognizable form.
  • "Usage Data" means technical and operational data about how you interact with the Services, such as feature adoption signals, session duration, error logs, and performance metrics.

4.2 Your Responsibility for Inputs

You are solely responsible for all Inputs you submit to the Services. By submitting Inputs, you represent and warrant that:

  • You own or have obtained all necessary rights, licenses, and permissions to submit the Inputs and to grant Induce the rights described in Section 4.3.
  • Your Inputs do not infringe, misappropriate, or violate any third-party intellectual property right, privacy right, right of publicity, or any applicable law or regulation.
  • If your Inputs include the name, voice, likeness, or recognizable attributes of any real person, you have obtained all necessary written consents, releases, and authorizations from that person prior to submission.
  • Your Inputs do not constitute defamatory, obscene, harmful, unlawful, or Prohibited Data.

4.3 License to Induce

You grant Induce a worldwide, royalty-free, non-exclusive license to access, process, store, and use your Inputs and Project Content solely for the following purposes:

  • Providing the Services to you, including processing Inputs through AI models to generate Outputs
  • Maintaining your project workspace and Persistent Project Memory

• Enabling collaboration features you have explicitly authorized

  • Operating, maintaining, securing, and improving the technical infrastructure of the Services
  • Creating and compiling Aggregated Data and Usage Data as described in Section 4.6

This license expressly does not include the right to use your Inputs or Project Content to train AI models without your separate and explicit written consent. See Section 5 for our AI Training practices.

4.4 Ownership of Outputs

Subject to your compliance with these Terms:

  • As between you and Induce, you retain all ownership rights in Outputs generated from your Inputs using the Services.
  • You have full commercial rights to use, reproduce, distribute, publicly display, and create derivative works from Outputs, regardless of your subscription tier. This includes monetized uploads, client work, broadcast, and commercial distribution.
  • Due to the probabilistic nature of generative AI, Outputs may not be identical across users. Induce does not warrant or guarantee exclusivity of any Output.
  • Induce hereby assigns to you all of Induce's right, title, and interest in and to the Outputs, to the greatest extent permitted by applicable law, subject to the license back described in Section 4.5.

4.5 License Back for Service Operation

You grant Induce a worldwide, non-exclusive, royalty-free, perpetual license to host, process, and store your Outputs solely to: (i) provide and improve the Services; (ii) compile Aggregated Data; and (iii) operate and maintain the technical infrastructure. This license does not include the right to use your Outputs for AI model training without your explicit opt-in consent under Section 5.

4.6 Aggregated Data and Usage Data Ownership

As between the parties, Induce owns and retains all right, title, and interest — including all related intellectual property rights — in and to Aggregated Data and Usage Data, and any analytical results, improvements, or new product developments derived therefrom. Aggregated Data and Usage Data do not include your Project Content in recognizable form and cannot be used to identify you or your creative work. Induce may use Aggregated Data and Usage Data for any lawful business purpose, including product improvement, AI model development, analytics, benchmarking, and business reporting, without restriction and without further notice to you.

4.7 Watermarks and Content Credentials

Induce reserves the right, in its sole discretion and without prior notice, to embed watermarks, content credentials (including C2PA-compliant provenance metadata), or other identifying information in or associated with Outputs, including as may be required by applicable laws or platform standards. You will not, and will not permit others to, remove, alter, obscure, or circumvent any such watermarks, metadata, or content credentials embedded in Outputs. This obligation survives termination of your Account.

4.8 Photographs and Uploaded Images

If you upload a photograph or image to the Services that includes one or more identifiable persons:

  • You represent and warrant that you have obtained prior written consent from each identifiable person (or their legal guardian, if a minor) authorizing your use of their likeness in connection with the Services.
  • You must be able to produce evidence of such consent upon request by Induce.
  • If you use any Output that identifies or realistically resembles a real person, you will, where required by applicable law or platform policy, publicly identify that such Output was AI-generated.
  • Induce does not perform facial recognition, biometric identification, or identity verification on uploaded images or video. Any visual consistency features operate on style parameters only and do not create biometric profiles or templates.

4.9 Content Storage and Backups

Unless you explicitly save Project Content to your workspace, Induce is not obligated to retain Project Content beyond the processing session. All assets uploaded to Induce are set to private by default and are not accessible to other users unless you explicitly change your sharing settings. We strongly recommend maintaining independent backups of any materials you consider irreplaceable. Induce is not liable for loss of unsaved Project Content.

5. AI Training and Data Use

Induce is committed to full transparency about how your creative content is used in relation to AI model development. This section governs all AI training practices and supersedes any general description elsewhere in these Terms.

Your Inputs and Project Content — including scripts, story briefs, screenplays, uploaded images, audio files, and all other creative materials — will NOT be used to train Induce's AI models or any third-party AI models without your explicit, affirmative, and separately obtained written consent. This applies to all subscription tiers including free accounts.

5.2 Voluntary Opt-In Program

You may be presented with a separate, voluntary opt-in to contribute anonymized Project Content to Induce's AI improvement programs. This opt-in is entirely voluntary. Declining will not affect your access to the Services, your subscription features, or the quality of Outputs you receive. You may withdraw your opt-in consent at any time by contacting privacy@getinduce.com, without affecting the lawfulness of any processing prior to withdrawal.

5.3 Aggregated and Usage Data

Aggregated Data and Usage Data — as defined in Section 4.1 and owned by Induce under Section 4.6 — may be used to improve the Services and develop AI models without requiring your separate consent. This is permitted because such data does not contain your Project Content in recognizable form and cannot reasonably be used to identify you or your creative work.

5.4 No Retroactive Change

If Induce modifies its AI training data practices in any way that would affect Project Content, we will provide prominent advance written notice and obtain renewed opt-in consent before any such change takes effect. We will never retroactively apply new AI training permissions to Project Content you have already submitted without your explicit agreement.

6. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in strict compliance with these Terms. You may not use the Services to:

  • Generate content depicting sexual acts, nudity, or sexually explicit material of any kind
  • Create non-consensual intimate imagery (NCII) or deepfakes of real persons without their documented, explicit consent
  • Generate content that is defamatory, threatening, harassing, or that incites violence or discrimination against any individual or group
  • Produce any content that depicts or sexualizes minors in any way
  • Impersonate any real individual, organization, or entity in a misleading or harmful manner
  • Facilitate the creation of disinformation, political propaganda, or synthetic media designed to deceive or defraud

• Engage in any High Risk Activity as defined in Section 19

• Submit Prohibited Data as defined in Section 19

  • Circumvent or attempt to circumvent any platform safety, content moderation, or access control system
  • Reverse-engineer, decompile, disassemble, or attempt to extract the underlying AI models, algorithms, weights, or proprietary technology
  • Use the Services to develop, train, or improve a competing AI product or service, directly or indirectly
  • Access the Services via automated bots, scrapers, or tools that circumvent rate limits or usage caps
  • Violate any applicable federal, state, local, or international law or regulation
  • Upload or transmit any malware, viruses, or other harmful or malicious code
  • Misrepresent the source of any Output or represent that Output is human-generated when it is not

Induce reserves the right to investigate suspected violations, remove non-compliant content, and suspend or terminate Accounts — with or without prior notice — where a violation is sufficiently serious. For content involving real persons, you must be able to produce proof of consent upon Induce's request.

7. Subscriptions, Billing, and Payments

7.1 Plans and Fees

Induce offers various subscription tiers and usage-based plans as described at getinduce.com/pricing. All fees are stated in US Dollars unless otherwise specified. Prices are subject to change with at least 30 days' advance notice to active subscribers.

7.2 Automatic Renewal

IMPORTANT: Paid subscriptions automatically renew at the end of each billing period — monthly or annual — at the then-current rate, unless you cancel prior to the renewal date. By subscribing, you authorize Induce (via our payment processor) to charge your payment method on a recurring basis. You may cancel auto-renewal at any time through your Account settings. Cancellation takes effect at the end of the current paid billing period; you retain access through the end of that period.

7.3 Refunds

Subscription fees are generally non-refundable, except: (i) where required by applicable law; (ii) if Induce permanently discontinues the Services without a successor offering; or (iii) in cases of demonstrable billing errors attributable to Induce. Refund requests must be submitted to billing@getinduce.com within 14 days of the applicable charge.

7.4 Taxes

All fees are exclusive of applicable taxes, levies, and duties, including sales tax, use tax, VAT, and GST. You are responsible for all such taxes applicable to your subscription in your jurisdiction. Induce will collect taxes where required by law.

7.5 Payment Processing

Payments are processed by third-party processors including Stripe, Inc. Induce does not store your full credit card number, CVV, or banking credentials. By submitting payment information, you consent to the applicable payment processor's terms of service and privacy policy.

7.6 Free Trials and Promotional Credits

If you register for a free trial or receive promotional credits, the specific terms will be communicated at the time of registration or award. Unless you cancel before the conclusion of a free trial period, your Account will automatically convert to a paid plan and your payment method will be charged.

8. Intellectual Property

8.1 Induce's Intellectual Property

All intellectual property rights in the Services — including the Induce platform, Narrative Intelligence technology, underlying AI models, shot-breakdown engine, workflow tools, user interface, brand, and trademarks — are and remain the exclusive property of Induce Media Labs, Inc. or its licensors. Nothing in these Terms transfers any IP rights in the Services or underlying technology to you.

8.2 Feedback

If you provide feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant Induce a perpetual, irrevocable, royalty-free, worldwide, fully sublicensable license to use, incorporate, and exploit such Feedback in any manner without obligation, compensation, or restriction. You waive any moral rights in Feedback to the extent permitted by applicable law.

9. Confidentiality

For enterprise and studio plan subscribers, Induce will treat your Project Content and production materials as Confidential Information and will not disclose them to third parties except as described in the Privacy Policy. You agree not to disclose to any third party any non-public information about Induce's technology, pricing, roadmap, or business operations that is shared with you in the context of an enterprise or business relationship. These confidentiality obligations survive termination of your Account for a period of three (3) years.

10. Third-Party Services and Integrations

The Services may integrate with or link to third-party platforms, APIs, or tools. Your use of any third-party service is exclusively subject to that service's own terms of service and privacy policy. Induce is not responsible for the availability, content, security, or privacy practices of any third-party service and is not liable for any damages or losses arising from your use of or reliance on such services. By enabling any third-party integration, you authorize Induce to exchange Inputs and Outputs with that service on your behalf to the extent necessary to deliver the integration.

Induce respects intellectual property rights and expects users to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. Section 512.

Your notice must include: (i) identification of the copyrighted work claimed to be infringed; (ii) identification of the allegedly infringing material and its location on our Services; (iii) your contact information; (iv) a statement of good-faith belief that the use is not authorized; (v) a statement that the information is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner; and (vi) your physical or electronic signature.

Repeat infringers will have their Accounts terminated at Induce's sole discretion.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INDUCE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

INDUCE DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY AI OUTPUT WILL BE ACCURATE, COMPLETE, NON-INFRINGING, OR FIT FOR ANY PARTICULAR PURPOSE; (C) ANY DEFECTS WILL BE CORRECTED; OR (D) THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

AI-generated Outputs are synthetic and probabilistic in nature. They may contain errors, inconsistencies, or unintended content. You are solely responsible for reviewing all Outputs before using them in any production, publication, broadcast, commercial release, or other context.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INDUCE MEDIA LABS, INC. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY AI OUTPUT GENERATED THROUGH THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT.

INDUCE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE FORM OF THE ACTION, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO INDUCE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain implied warranties or liability for incidental or consequential damages. The above limitations apply only to the fullest extent permitted by applicable law in your jurisdiction.

14. Indemnification

You agree to indemnify, defend (at Induce's option), and hold harmless Induce Media Labs, Inc. and its officers, directors, employees, agents, successors, and licensors from and against any and all claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your access to or use of the Services; (b) your Inputs, Project Content, or AI Output; (c) your breach of any representation, warranty, or obligation under these Terms; (d) your violation of any third-party right, including any intellectual property right, privacy right, or right of publicity; or (e) any claim by a third party that your Inputs or use of AI Output caused harm.

15. Term, Suspension, and Termination

  • These Terms remain in effect for as long as you use the Services or maintain an active Account.
  • You may terminate your Account at any time by contacting support@getinduce.com or through your Account settings.
  • Induce may immediately suspend or terminate your Account without prior notice if we determine, in our sole discretion, that you have materially violated these Terms, including the Acceptable Use Policy, or that your use poses a risk to the Services, other users, or third parties.
  • Induce may terminate these Terms and your Account for any reason other than cause upon 30 days' written notice.
  • Upon termination: (a) your license to access and use the Services immediately terminates; (b) you should export any Project Content or AI Output you wish to retain before termination takes effect; (c) Induce will delete or de-identify your data in accordance with our Privacy Policy and applicable law. Note that deletion of your Account does not affect any licenses already granted to Induce under Section 4.5 with respect to Outputs already incorporated into Aggregated Data prior to deletion.
  • The following Sections survive termination: 4 (Inputs, Outputs, and Project Content), 5 (AI Training), 8 (Intellectual Property), 9 (Confidentiality), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 16 (Dispute Resolution), and 18 (General Provisions).

16. Dispute Resolution, Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO A JURY TRIAL.

16.1 Informal Resolution — Required First Step

Before initiating any arbitration or other formal legal proceeding, you agree to contact Induce at legal@getinduce.com with a written description of your claim and the relief you seek. The parties will attempt in good faith to resolve the dispute informally for 30 days from receipt of the notice. This informal resolution process is a prerequisite to arbitration.

16.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services — including the formation, interpretation, breach, or termination thereof — shall be resolved by final, binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures (for claims under $250,000) or Comprehensive Arbitration Rules and Procedures (for claims at or above $250,000), as applicable. The seat of arbitration shall be Wilmington, Delaware. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The parties shall equally share JAMS filing and administrative fees, except where waived by JAMS consumer fee schedules or applicable law.

16.3 Class Action and Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN, BRING, OR BE A MEMBER OF ANY CLASS ACTION LAWSUIT, COLLECTIVE ARBITRATION, OR REPRESENTATIVE PROCEEDING AGAINST INDUCE. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. YOU ALSO WAIVE YOUR RIGHT TO A JURY TRIAL FOR ALL CLAIMS SUBJECT TO ARBITRATION.

16.4 Opt-Out

You may opt out of the arbitration agreement and class action waiver by sending written notice to legal@getinduce.com within 30 days of first creating your Account. Your opt-out notice must include your name, email address, and a clear statement that you are opting out. Opting out does not affect any other provision of these Terms.

16.5 Exceptions

Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information, without first complying with the informal resolution requirement.

16.6 Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. For any matters not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Wilmington, Delaware.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable plan-specific or supplemental terms incorporated by reference, constitute the entire agreement between you and Induce with respect to the Services.

17.2 Modifications

We may update these Terms at any time by posting the revised version at getinduce.com/terms with a revised Effective Date. For material changes, we will provide at least 14 days' advance notice via email or in-product notification. Your continued use after the effective date constitutes acceptance. If you do not agree to any revision, you must stop using the Services before the effective date.

17.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

17.4 Waiver

No waiver by Induce of any breach or default shall be deemed a waiver of any subsequent breach or default.

17.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without Induce's prior written consent. Induce may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.

17.6 Force Majeure

Induce is not liable for failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, governmental action, internet outages, cyberattacks, pandemics, or third-party service failures.

17.7 Export Compliance

You represent that you are not located in, under the control of, or a national or resident of any country subject to US economic sanctions or export restrictions, and that you are not listed on any US government list of prohibited or restricted parties. You agree to comply with all applicable US export laws and regulations.

17.8 Government Users

If you are a US federal, state, or local government entity using the Services in your official capacity, certain provisions of these Terms may not apply to you. Contact us at legal@getinduce.com for applicable terms.

19. Defined Terms

The following capitalized terms have the meanings set out below wherever they appear in these Terms:

Account

A registered user account created by you to access and use the Services.

Aggregated Data

Anonymized, de-identified data derived from usage of the Services across all users that cannot reasonably be used to identify any individual user or their Project Content. Aggregated Data does not include Project Content in recognizable form.

AI Output / Output

Shot lists, character sheets, breakdown documents, visual style guides, storyboards, and other materials generated by the Services in response to your Inputs.

Branding Guidelines

Induce's then-current brand and attribution guidelines, available at getinduce.com/brand.

Confidential Information

Non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

High Risk Activities

Uses of the Services where failure or error could reasonably be expected to lead to death, serious personal injury, severe environmental damage, or material financial harm — including, without limitation, use in connection with nuclear facilities, aircraft navigation or communication systems, air traffic control, life support systems, or weapons.

Input

Scripts, screenplays, creative briefs, story documents, images, video clips, audio files, reference materials, prompts, and other content that you upload, submit, or enter into the Services.

Narrative Intelligence

Induce's proprietary technology for maintaining cross-scene character, visual style, and continuity consistency across a cinematic production.

Persistent Project Memory

Induce's feature that retains production parameters, character profiles, and visual references throughout a project lifecycle across sessions.

Prohibited Data

Personal data subject to heightened regulatory protection, including (without limitation): Protected Health Information (PHI) as defined under HIPAA; payment card data subject to PCI-DSS; Social Security numbers or government-issued identification numbers; financial account credentials; and any data whose processing by Induce would require Induce to be classified as a regulated entity (e.g., a HIPAA Business Associate).

Project Content

Your Inputs together with any Outputs saved to your workspace, associated metadata, and project configuration settings.

Services

The Induce platform, APIs, mobile applications, and all related tools and integrations made available by Induce at getinduce.com and associated domains.

Usage Data

Technical and operational data about how you interact with the Services, including feature adoption signals, session duration, error logs, and performance metrics. Usage Data does not include the content of your Inputs or Outputs.

Your EULA

The enforceable end-user license agreement that you must bind your end users to if you integrate the Services into your own applications via the Induce API, as described in Section 2.5.
